These Terms of Service ("Terms") govern your access to and use of the Bluemoon Exporters website and related services. By accessing our website, submitting an inquiry, or placing an order, you agree to be bound by these Terms. If you do not agree, please do not use our services. These Terms apply to business-to-business (B2B) transactions unless otherwise stated in a signed contract.

Product descriptions, images, specifications, and pricing displayed on our website are provided for general reference and marketing purposes. While we strive for accuracy, we do not warrant that all information is complete, current, or error-free. Product availability, grades, packaging, and pricing are subject to confirmation at the time of quotation.

Samples, where offered, are provided on a case-by-case basis and may differ from bulk shipment specifications. Buyers are encouraged to request samples and approve specifications before placing large orders.

A binding contract is formed only when the Buyer accepts a written quotation or proforma invoice and the Company issues written order confirmation. Verbal agreements are not binding unless confirmed in writing by Kanchan or another authorised representative of Bluemoon Exporters.

All prices are quoted in the currency specified on the quotation. Unless stated otherwise, prices are exclusive of taxes, duties, customs charges, insurance, and freight beyond the agreed Incoterm.

Payment must be received in full according to agreed terms before shipment, unless credit terms have been expressly approved in writing. Late payments may incur interest at 1.5% per month and may result in suspension of future orders.

8. Shipping, Delivery, and Risk of Loss

Delivery dates are estimates only and are not guaranteed unless expressly agreed in writing as a firm commitment. We are not liable for delays caused by port congestion, customs clearance, weather, carrier issues, force majeure events, or other circumstances beyond our reasonable control.

Risk of loss and title to Goods pass to the Buyer in accordance with the Incoterms specified on the Order. The Buyer is responsible for arranging import licences, customs clearance, and compliance with import regulations in the destination country.

9. Inspection, Quality, and Claims

Goods are inspected prior to shipment in accordance with our quality assurance procedures. Third-party inspection (SGS, Bureau Veritas, etc.) may be arranged at the Buyer's expense if requested before shipment.

Any claim regarding quality, quantity, or condition of Goods must be submitted in writing within 7 days of delivery (or within 3 days of arrival at port for visible damage). Claims must include supporting evidence such as photos, survey reports, and packing lists. Failure to notify us within these timeframes may void the claim.

All content on this website — including text, logos, images, product descriptions, design elements, and software — is the property of Bluemoon Exporters or its licensors and is protected by copyright, trademark, and other intellectual property laws.

You may not reproduce, distribute, modify, or create derivative works from our content without prior written consent. The Bluemoon Exporters name and logo may not be used in any manner that suggests endorsement or affiliation without permission.

11. Confidentiality

Both parties agree to keep confidential any non-public commercial, technical, or pricing information disclosed during the course of business, except where disclosure is required by law or necessary to perform obligations under an Order (e.g. sharing with freight forwarders or customs authorities).

12. Export Compliance

The Buyer acknowledges that international trade is subject to export controls, sanctions, and import regulations. The Buyer is solely responsible for ensuring that ordered Goods may be legally imported into the destination country and that all required licences and permits are obtained. Bluemoon Exporters complies with applicable Indian export regulations and reserves the right to refuse orders that may violate sanctions or export control laws.

13. Limitation of Liability

To the maximum extent permitted by applicable law, Bluemoon Exporters shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, or business interruption, arising from or related to these Terms or any Order.

Our total aggregate liability for any claim arising from an Order shall not exceed the total amount paid by the Buyer for that specific Order. These limitations apply regardless of the theory of liability and even if we have been advised of the possibility of such damages.

14. Force Majeure

Neither party shall be liable for failure or delay in performance due to events beyond reasonable control, including natural disasters, epidemics, war, terrorism, government actions, port closures, strikes, supply chain disruptions, or significant raw material shortages. The affected party must notify the other promptly and use reasonable efforts to mitigate the impact. If a force majeure event continues for more than 60 days, either party may terminate the affected Order without penalty, subject to payment for Goods already produced.

15. Governing Law and Dispute Resolution

These Terms are governed by the laws of India, without regard to conflict of law principles. Any dispute arising from these Terms or an Order shall first be attempted to be resolved through good-faith negotiation between the parties.

If negotiation fails within 30 days, disputes shall be referred to arbitration in Mumbai, India, under the rules of the Mumbai Centre for International Arbitration (MCIA), unless the parties agree otherwise in writing. The language of arbitration shall be English. The arbitrator's decision shall be final and binding.

16. Changes to These Terms

We may revise these Terms at any time by posting an updated version on this page. Changes take effect upon posting unless otherwise stated. Material changes affecting existing Orders will not apply retroactively without your consent. Your continued use of the website after changes constitutes acceptance of the revised Terms for new inquiries and Orders.

17. Severability and Waiver

If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect. Our failure to enforce any right or provision shall not constitute a waiver of that right or provision.
